Course Objective

This course will focus on theories of corporate governance. The course will cover corporate governance practices under different market conditions around the world. Parts of corporate governance mechanism; boards of directors, the ownership structure, role of CEO and management, control mechanisms will be discussed and the impact of each on firm performance and value of the firm will be discussed. Ethical issues, governance for sustainable business and related policy issues will be part of the discussions.

Learning Outcomes of the Course Unit

1   Understand and contrast different theories related to corporate governance.
2   Analyze current academic research on different corporate governance mechanisms.
3   Analyze ethical issues related to corporate governance in the context of sustainable business.
4   Develop research proposals in corporate governance area.

Assessment Criteria

1.To be able to read and interpret the current literature in corporate governance field.
2. To be able to identify different corporate governance mechanisms.
3. To be able to critically discuss relationships among governance mechanisms in different market settings.
4. To be able to prepare and present a research proposal.

1. Plagiarism of any type will result in disciplinary action.
2. Attending at least 70 percent of lectures is mandatory.
3. All assignments should be submitted on time. Otherwise will not be accepted.
