Course Objective

Legal status of shareholders in limited companies which is so important for our legal operation, will be analyzed with comparison with other companies and will be studied scope that mentioned above in master level.

1   Gaining general information about Limited Company. 2   Explaining basic concepts about Limited and other companies. 3   Making application learned information about Limited and other companies. 4   Analyzing legal disputes about Limited and other companies. 5   Considering legal problems about Limited and other companies.

Course Contents

Week Subject Description 1 Description of Limited Company Basic rules of limited company and comparison with other companies. 2 Legal Status of Shareholders in Limited Company Generally acquiring and losing of shareholdership. 3 Obligations of Shareholders in Limited Company Firstly additional payment and side performance obligation and also obligation of loyalty, competition ban will be studied. 4 Rights of Shareholders in Limited Company Financial and executive rights will be divided in 2 in accordiance with rights system. 5 Liability of Shareholders in Limited Company One debt principle as a basic principle and it's exceptions.

Subject will be studied theoretically and comparatively. Legal practice will be considered.
