Course Objective

Aim of the course is to introduce basic principles of Turkish Law of Companies and express its differences and similarities between other legal systems.

Learning Outcomes of the Course Unit

1   Be able to apprehend the basic rules of Law of Companies
2   Be able to apprehend the companies and types of companies.
3   Be able to consider and evaluate the academic works, judicial decisions and legislation about law of companies.
4   Be able to solve the problems in real life about law of companies.
5   Be able to express things, which have been learned in this course.
6   Be able to express new opinions and be able to justify these opinions, be able to criticise other opinions and be able to discuss subjects, which can be useful in this field of study.

Course Contents

1 The historical development of the concept of partnership and the Turkish legal system, partnerships and their classifications; partnership relationship elements
2 Ordinary partnership, organization, relations between the partners, relationships with third parties
3 Ordinary cases of termination and liquidation of the partnership, the general provisions for trading companies
4 Collective partnerships, the partnership elements and its definition, phases of the collective partnership organization, lack of incorporation, shareholders relations, financial relations (capital of putting debt, profit and loss participation, liquidation share), personal relations, external relations
5 Relationships with third parties and responsibility of partners, changes between partners, and its legal consequences of changes in the collective termination and liquidation of the partnership
6 Anonymous partnership concept, historical development, principles of joint stock companies, which dominate
7 Types of joint stock companies, joint-stock company's organization
8 Anonymous partnership functioning, relationships between bodies and organs, organs division of powers between the board, the duties and powers of the board of directors, board members of the legal status of the acquisition and loss of status as a member of the board of directors
9 Obligations and responsibilities of administrative body, auditing, auditors and their rights, duties and responsibilities in incorporated.
10 General Assembly, the powers of the general assembly, general assembly invoking the general assembly gathering and disability states of the provisions of General Assembly resolutions
11 Individual, acquired, minority rights in incorporated, concept of interests, types of interests, acquiring stakeholding name, losing stakeholding name, obligations and rights of stakeholders equities, types of equities, bearer securities, registered shares and connected registered shares.
12 Limited partnerships, definition and quality, organization, legal status of partners, inter-partner changes
13 Limited partnership organization (general assembly, management and representation, control), partnership agreement, modification, termination and liquidation of the partnership.
